Envictus’ Pok Brothers to buy Selangor factory-warehouse for RM68m to centralise food operations

Summary:

  • Envictus International’s indirect wholly owned unit Pok Brothers Sdn. Bhd. has agreed to acquire a factory and warehouse in Shah Alam, Selangor, for RM68.0 million (about S$21.6 million) from SMG Land Sdn. Bhd. via a sale and purchase agreement signed on 19 January 2026.

  • The purchase price is at a discount to the independent market valuation of RM71.0 million as at 15 December 2025, and will be funded through a mix of internal resources and bank borrowings.

  • The property will be used to centralise the Group’s trading and frozen food, food services and dairies operations, replacing multiple third-party leased warehouses to improve operational efficiency and support future growth.

  • On a pro forma basis, FY2025 earnings per share would dip from 9.9 sen to 9.3 sen due to depreciation and interest costs (partly offset by about RM2.0 million annual rental savings), while gearing would rise from 0.48 times to 0.77 times on RM66.6 million of additional bank borrowings.

  • The transaction size is 19.0% of Envictus’ market capitalisation under SGX Rule 1006(c), making it a discloseable transaction that does not require shareholder approval, and completion remains subject to regulatory and state approvals including confirmation from Malaysia’s Ministry of Economy and state land authority consent.
