MS&AD seals final deal to merge Mitsui Sumitomo Insurance and Aioi Nissay Dowa, new core non‑life entity to launch on 1 April 2027

Summary:

  • Mitsui Sumitomo Insurance (MSI) and Aioi Nissay Dowa Insurance (ADI), the two core non‑life units of MS&AD, have signed a final merger agreement to combine with effect from 1 April 2027, subject to shareholder and regulatory approvals.

  • MSI will be the surviving company under Japan’s Companies Act, with no new shares or consideration issued to ADI’s sole shareholder MS&AD; the holding company will be renamed Mitsui Sumitomo Insurance Group, Inc. at completion.

  • The merged operating entity will be called Mitsui Sumitomo Aioi Insurance Company, Limited, headquartered in Tokyo, with a 15‑member board including 7 outside directors and MSI/ADI appointees as chairman, vice chairman and president/CEO.

  • Management frames the deal as a core plank of its FY2030 strategy to become the “insurance and financial group most chosen by customers”, promising stronger growth foundations, tighter governance and a new digital/AI‑driven agency and claims model.

  • A detailed Merger Basic Plan and group “Aspiration for FY2030” will be finalised and announced in May 2026, with systems, organisation and HR integration work ramping up ahead of the April 2027 legal merger.
